条款与条件

这是您（购买方即您）和格致英语（提供方即我们）之间就您购买培训课程和培训资料（分别是“培训课程”和“培训资料”）达成的法律协议，其中包括印刷资料和在线文档（文档）和视频资料。

购买行为即代表您同意这些条款。如果您不同意这些条款，我们将不向您出售培训资料或文档，同时您必须立即停止购买流程。

1.产品描述

我们将我们的产品描述为以下的培训方式：

  • 线下培训
    • 需要在讲师提供培训的地方参加培训
  • 在线培训
    • 在线访问并完成课程
  • 远程学习
    • 发送学习资料给参与者
  • 混合式学习
    • 使用所有上述方法的混合完成学习

请注意，我们的产品在一般情况下仅授权在一个CPU上面运行。

2. 购买方的保证

您保证：

  • 不复制培训资料或文档；
  • 不出租、租用、分许可、借出、翻译、合并、改编、改变或修改培训资料或文档；
  • 不改变或修改培训资料或文档的全部或任何部分，或者将培训资料或其中的任何部分组合或结合到任何其他材料；

3. 退货和取消培训课程

  •  您完全同意，由于课程属于虚拟产品，您不得以任何理由退货或要求重新发货。
  •  您完全同意，无论何时向我们提交退货或取消请求，取消远程学习、混合式学习和线上培训均不退款。

4. 知识产权

您承认培训资料和文档中的所有知识产权属于提供方，培训资料和文档中的权利通过许可授予（不是出售）您，您没有除依照本许可条款使用培训资料或文档之外的任何权利。

5. 不可抗力

我们对合理控制范围之外的事件（不可抗力事件）所导致任何不履行，或延迟履行任何义务概不承担任何责任。

不可抗力事件包括超出合理控制范围的任何行动、事件、未发生、疏忽或意外。

我们的责任履行在不可抗力事件期间被视为暂停，我们将获得与该期间的持续时间等长的延长履行时间。我们将尽合理的努力解决不可抗力事件或寻找解决方法，以使我们可能会在出现不可抗力事件的情况下履行义务。

6.一般

如果任何主管当局认为这些条款的任何规定无效或全部或部分不能强制履行，剩余规定将不受影响。

这些条款受美国法律管辖，双方将提交给美国法庭的专属管辖。

7.更改

我们有权不时更改和修订这些条款与条件。

 

 

Terms and Conditions

This is a legal agreement between you (the purchaser being you) and GZ English (the provider being us) regarding your purchase of training courses and training materials (“Training Courses” and “Training Materials” respectively), including printed materials and online documentation (documentation) and video materials.

By purchasing, you agree to these terms. If you do not agree to these terms, no training materials or documentation will be sold to you and you must stop the purchasing process immediately.

1. Product Description

We describe our products as the following training methods:

  • offline training
    • Need to attend training where the instructor delivers the training
  • online training
    • Access and complete courses online
  • distance learning
    • Send learning materials to participants
  • blended learning
    • Complete your studies using a blend of all the above methods

Please note that our products are generally only licensed to run on one CPU.

2. Purchaser’s Warranty

You warrant that:

  • not reproduce training materials or documentation;
  • not to rent, rent, sublicense, lend, translate, merge, adapt, alter or modify training materials or documentation;
  • not alter or modify all or any part of the training materials or documentation, or combine or incorporate the training materials or any part thereof into any other material;

3. Returns and cancellations of training sessions

  •  You fully agree that because the Course is a virtual product, you may not return it or ask for a reshipment for any reason.
  •  You agree in full that no refunds will be given for cancellations of distance learning, blended learning and online training, regardless of when a return or cancellation request is submitted to us.

4. Intellectual property rights

You acknowledge that all intellectual property rights in the training materials and documentation belong to the provider, that rights in the training materials and documentation are licensed (not sold) to you, and you have no rights other than to use the training materials or documentation in accordance with the terms of this license.

5. Force majeure

We shall not be liable for any non-performance, or delay in performance of any obligation, caused by events beyond our reasonable control (force majeure events).

A force majeure event includes any action, event, failure, omission or accident beyond reasonable control.

The performance of our obligations is deemed to be suspended during the force majeure event and we will be granted an extension of time for performance equal to the duration of that period. We will use reasonable endeavors to resolve the Force Majeure Event or to find a solution by which we may be able to perform our obligations in the event of a Force Majeure Event.

6. General

If any competent authority considers any provision of these Terms to be invalid or unenforceable in whole or in part, the remaining provisions will not be affected.

These Terms are governed by the laws of the United States, and the parties should submit the issues in question to the exclusive jurisdiction of the courts of the United States.

7. Amendment

We reserve the right to change and amend these terms and conditions from time to time.
